In order to form an LLC in the state of New Mexico, you must file Articles of Organization with the Secretary of State. In New Mexico, there is a $50 filing fee for the Articles of Organization. Submit the form by either postal mail or by filing online. The fee is the same for both options.

However, if you file the LLC online, then you will need to create an account and add funds to your balance. There is an additional fee of a few dollars for this which is not counted towards the filing fee. Not all states allow online filings, some only allow paper filings. Here is the information required for filing:

1. The name of your LLC.
It must be original from other existing business names that have been filed in New Mexico. Check your LLC name against the Secretary of State’s database for any duplicates. It must also contain the designator “Limited Liability Company”, “Limited Company”, or the abbreviations of these words: “LLC” and “LC”.

2. The name and signature of the organizer.
This refers to the person responsible for completing and filing the LLC articles with the state. The organizer does not have to be a member of the LLC. We are the Organizer for all limited liability companies that we form.

3. Signed consent of designated registered agent in New Mexico.
Your LLC must appoint a registered agent in New Mexico  with its filing and the agent must sign their agreement. The registered agent agrees to accept legal papers on behalf of the LLC, as well as correspondence with the Secretary of State. The registered agent must have a current street address in New Mexico. Additionally, the registered agent can be the same as the organizer mentioned above.

4. A business or mailing address.

This information provides avenue for document delivery and any future correspondence, which would include any important government notifications, tax forms, or lawsuits. Again, we use our information for these fields to keep you anonymous.

Filing Times

When filing by mail, you can expect approval within 15 business days (or sooner if you’ve opted for the expedited filing that comes with higher filing fees).  If you file online, you can expect approval within 1-3 business days. Your acceptance letter from the Secretary of State will be delivered to the email address you listed on your form.

Also, keep in mind that while New Mexico does not require that you sign an operating agreement during the formation process, it may prove useful depending on your business operations or investment practices.
