These Lawsuit Protection Plan Terms govern a "Business Entity’s" purchase and use of a Company Sage plan that includes access to a limited attorney consultation after a qualifying civil lawsuit is initiated against an enrolled Business Entity. The Business Entity acknowledges that Company Sage is providing this Lawsuit Protection Plan exclusively to "Business Entities," not to the Business Entity’s members, managers, shareholders, directors, officers, employees, agents, or individuals and that any and all actions arising out of or in connection with the Lawsuit Protection Plan must be initiated by an authorized representative of the Business Entity that purchased the Lawsuit Protection Plan.

1. Nature of the Plan

The Lawsuit Protection Plan is not insurance, does not guarantee a legal outcome, and does not include legal representation in court. Unless expressly stated otherwise in writing, the plan provides access to a limited consultation with an independent licensed attorney for an enrolled Business Entity that experiences a qualifying lawsuit during the coverage period.

2. No Law Firm Relationship With Company Sage

Company Sage is not a law firm and does not itself provide legal representation. Any attorney consultation is provided by an independent attorney or law firm, and any attorney-client relationship is solely between the attorney and the Business Entity receiving the consultation.

3. Qualifying Matter

A "Qualifying Lawsuit" means a civil demand letter, complaint, or service of process served against the enrolled Business Entity during an active coverage period, excluding matters specifically listed in Section 5.

4. Included Benefit

For a Qualifying Lawsuit, the plan includes one consultation of up to the duration stated in the order materials or plan description. The attorney may, in the attorney's discretion:

  • discuss the allegations;
  • explain procedural next steps;
  • discuss common response options;
  • identify issues relating to business formalities or asset-separation practices; and
  • provide a referral for additional representation if requested.

Any further legal work requires a separate engagement with the attorney or another law firm.

5. Exclusions

Unless expressly stated otherwise, the plan excludes:

  • criminal matters and government investigations;
  • tax audits and tax litigation;
  • appeals;
  • class actions or mass actions;
  • intellectual property disputes;
  • employment and benefits disputes;
  • lawsuits initiated by the enrolled business;
  • matters predating the coverage period;
  • matters involving entities not listed as the enrolled business; and
  • services constituting the unauthorized practice of law.

6. Eligibility Limits

Any business-size thresholds, ownership restrictions, jurisdiction limits, waiting periods, or plan prerequisites will be described in the plan materials or order page.

7. Business Entity Responsibilities

An authorized representative of the Business Entity must:

  • notify us promptly after receiving notice of a potentially qualifying matter;
  • provide accurate documents and information;
  • cooperate reasonably with scheduling and intake; and
  • meet court or agency deadlines independently unless and until the Business Entity separately retains counsel.

8. Confidentiality

Company Sage will handle plan-related information in accordance with the Privacy Policy. Communications with an independent attorney may be privileged according to applicable law, but Company Sage cannot guarantee privilege for communications made solely with Company Sage personnel.

9. Term and Renewal

Plan term, renewal terms, waiting periods, and expiration rules will be described in the order materials. If the plan renews automatically, the Subscription and Billing Terms also apply.

10. Termination

We may suspend or terminate the plan if:

  • the Business Entity fails to pay required fees;
  • the Business Entity materially breaches these terms;
  • the matter is excluded;
  • the plan is used fraudulently or abusively; or
  • continued performance would be unlawful.

11. No Guarantee

We do not guarantee attorney availability in every jurisdiction, timing, outcome, or that a matter will qualify.
