These Subscription and Billing Terms ("Billing Terms") govern your purchase and use of subscription-based and recurring services offered by Company Sage ("Company Sage," "we," "us," or "our"). Any capitalized terms not defined in these Billing Terms will have the same meaning given to them elsewhere in our Terms of Service. These Billing Terms supplement the Terms of Service and apply to Entity Services, and all other Services purchased from Company Sage.

For purposes of these Billing Terms, an individual who has not yet purchased Services from Company Sage is referred to as a "consumer." After you complete a purchase of Services from Company Sage, "Business Entity" describes the individual accessing or using the Services and the business entity on whose behalf the individual is authorized to act (the "Business Entity" or "Business Entities").

You agree that the products and services described in these Billing Terms are exclusively provided to Business Entities, not to a Business Entity’s members, managers, shareholders, directors, officers, employees, agents, or individuals and that any and all actions arising out of, or in connection with, Entity Services must be initiated by the Business Entity that purchased the products and services described in these Billing Terms.

1. General Subscription Terms

Certain Services are offered for a one-time fee or on a subscription basis. By placing an order, you authorize us and our payment processors to charge all applicable amounts, including fees, taxes, and any other disclosed charges, using your selected payment method.

By purchasing a subscription-based product or service, you agree to:

  • pay all applicable fees;
  • maintain valid payment information;
  • comply with all product-specific terms; and
  • allow recurring billing until cancellation.

Subscriptions may include bundled services, usage-based components, third-party integrations, or add-on services depending on the product selected.

Even if you do not use the Services, you remain responsible for all subscription fees until you cancel or the subscription is otherwise terminated.

2. Billing and Payment Terms

2.1 Billing Authorization

You authorize Company Sage and its payment processors to charge your payment method for:

  • subscription and renewal fees;
  • applicable taxes;
  • add-on services;
  • overages (e.g., mail handling, document processing);
  • shipping or handling fees; and
  • applicable third-party service fees.

You represent and warrant that:

  • your payment information is accurate and complete;
  • you are authorized to use the payment method; and
  • all charges will be honored by your financial institution.

We may store one or more payment methods for your account and may receive automatic updates for expiring payment methods from your financial institution or payment processor.

Payment processing is typically handled by third-party providers using industry-standard security practices. While we work with secure providers, we do not control their systems and do not guarantee the security of their systems.

2.2 Billing Cycles and Renewal Timing

Your subscription term begins when your initial payment is processed. This date is your "Billing Date" and determines future payment due dates.

  • Monthly Subscriptions: Automatically renew each month without notice until canceled.
  • Annual Subscriptions: Automatically renew each year. Renewal reminders may be provided where required by law.

If you purchase an annual subscription billed annually, you are responsible for the full annual cost upon renewal.

2.3 Pricing

The cost of your subscription will be the price at the time of purchase unless adjusted by Company Sage. If pricing changes, we will provide advance notice before applying the new rate.

3. Government Filings and Auto-Filing Authorization

If you purchase a Service that involves submitting filings to a government office, you authorize Company Sage to charge your payment method for all required filing fees, including applicable late fees or penalties.

State filing deadlines may vary (e.g., annual, bi-annual, or state-specific schedules). Prior to submitting a filing, we will:

  • notify you by email before your filing window opens;
  • display the information to be filed and applicable state fees; and
  • provide an opportunity to review and edit that information.

If you do not make changes through your account, you authorize Company Sage to:

  • submit the filing on your behalf; and
  • charge your payment method for applicable state fees.

By remaining enrolled in autofiling, you affirm that the information provided is accurate and consent to such filings and charges.

4. Automatic Renewal

Subscriptions renew automatically at the end of each billing cycle unless canceled.

We will:

  • provide renewal reminders where required by law; and
  • allow cancellation prior to renewal.

If you do not cancel before renewal, your payment method will be charged for the next subscription term.

Failure to receive a renewal reminder does not relieve you of your obligation to pay for renewed subscriptions.

5. Cancellation

You may cancel your subscription at any time through your account portal.

Cancellation:

  • stops future billing;
  • does not retroactively refund prior charges; and
  • allows access to continue through the end of the current billing period unless otherwise specified.

You are responsible for ensuring continuity of any legally required services (such as registered agent services) after cancellation.

6. Refund Policy

Refund eligibility, if any, depends on the specific product or Service and will be disclosed at checkout or in product-specific terms.

Unless otherwise stated or required by law, fees are nonrefundable once:

  • services have begun;
  • documents have been filed or processed;
  • mail has been received, opened, or scanned; or
  • digital documents have been delivered.

Nothing in this section limits any non-waivable rights under applicable consumer protection laws.

7. Failed Payments and Chargebacks

If a payment fails, we may:

  • retry the charge;
  • request updated payment information;
  • suspend or terminate Services; or
  • restrict access to account features or documents.

If a charge is disputed or reversed, we may:

  • suspend your Services;
  • restrict access to your account; and
  • require the payment of outstanding balances before restoring Services and providing access to your account.

8. Data Collection Related to Billing

In connection with billing and subscriptions, we may collect and process:

  • billing contact information (name, email, address);
  • payment-related metadata;
  • transaction history;
  • subscription status and usage data;
  • billing-related communications; and
  • device and browser information.

This information may be collected directly from you, automatically through your use of the Services, or from third-party providers.

We use this information to:

  • process payments and transactions;
  • provide subscription Services;
  • detect fraud or unauthorized activity;
  • maintain financial records;
  • comply with legal obligations; and
  • improve billing systems and customer experience.

9. Third-Party Integrations and Services

Some Services may include or integrate with third-party providers, which operate independently under their own terms and privacy policies.

These may include payment processors, filing offices, attorneys, communication providers, or other service providers.

If you purchase or use a Service involving a third party:

  • you may be required to create separate accounts;
  • you may need to accept their terms of service and privacy policies; and
  • the third party may contact you directly regarding their services.

Company Sage is not responsible for third-party services except as required by law.

Disclaimer: COMPANY SAGE DISCLAIMS LIABILITY FOR ANY THIRD-PARTY MATERIALS, PRODUCTS, OR SERVICES. WE ARE NOT RESPONSIBLE FOR ANY FAILURE OR OUTCOME RELATED TO THIRD-PARTY SERVICES.

Included Third-Party Services

These may include, but are not limited to:

  • Relay Financial (Relay Banking) – business banking services;
  • Lili Banking – small business financial tools; and
  • Lendio – lending marketplace services.

Data Sharing for Integrations

We may share limited personal data necessary to facilitate third-party services, including:

  • business information;
  • contact information;
  • application data; and
  • onboarding or usage data.

Such data sharing is limited to what is reasonably necessary to provide the requested third-party service.

10. Pricing Changes

We may change pricing, service features, or subscription structures:

  • with advance notice;
  • effective at the next billing cycle; and
  • in accordance with applicable law.

Continued use of the Services after such changes occur constitutes acceptance.

11. Service Modifications

We may modify, suspend, or discontinue Services or features at any time, including bundled offerings, subject to applicable law.

12. Consumer Rights

Nothing in these Billing Terms limits any rights you may have under applicable consumer protection laws. Certain jurisdictions may provide additional rights regarding cancellation, refunds, or automatic renewals.
